On 6 July 2010, Hexagon AB (STO:HEXAB)(OTC:HEXN) entered into an agreement to acquire the US-based software provider Intergraph Corporation for 2 125 MUSD on a cash and debt free basis. Pactiv Corporation (“Pactiv”), an indirect wholly-owned subsidiary of Reynolds Group Holdings Limited (“Reynolds Group”), announced today that it was extending the expiration time of its offer to purchase for cash any and all of its outstanding 5.875% Notes due 2012 (the “2012 Notes”). The change of control offer for Pactiv’s 2012 Notes, which had been scheduled to expire at 12:00 a.m., New York City time, on November 20, 2010, will now expire at 8:00 a.m., New York City time, on November 29, 2010, unless extended or earlier terminated. The terms of the change of control offer otherwise remain as set forth in the Notice of Change of Control and Offer to Purchase (the “Notice of Change of Control Offer”), dated October 20, 2010, that Pactiv previously distributed to the holders of the 2012 Notes.
Eastman Chemical Company (NYSE: EMN) today announced that as of the early tender date in its previously announced cash tender offer for certain of its outstanding debt securities, which was 5:00 p.m., New York City time, on November 23, 2010, it had received tenders for an aggregate principal amount of approximately $542 million of its debt securities subject to the cash tender offer. Eastman today also announced that it has amended the tender offer to increase the total amount of debt securities sought to be purchased in the tender offer to up to $500 million in aggregate principal amount from the original $400 million previously announced.
