Eastman Kodak Company (NYSE: EK) is commencing today a tender offer to purchase for cash up to $575 million aggregate principal amount of its outstanding 3.375% Convertible Senior Notes due 2033 (the “2033 Notes”). The terms and conditions of the tender offer are set forth in the offer to purchase, the letter of transmittal and other related materials that will be distributed to holders of the 2033 Notes and filed with the Securities and Exchange Commission (the “SEC”) as exhibits to Kodak’s Schedule TO.

Eastman Kodak Company (NYSE: EK) today announced the pricing of its private placement of $400 million aggregate principal amount of convertible senior notes due 2017 to qualified institutional buyers pursuant to Rule 144A under the Securities Act, as amended. The notes will be unsecured obligations of Kodak and will bear interest of 7.00% per year. The sale of the notes to the initial purchasers is expected to settle on September 23, 2009, subject to customary closing conditions.
Eastman Kodak Company (NYSE: EK) today announced its intention to commence a tender offer to purchase for cash up to $575 million aggregate principal amount of its 3.375% Convertible Senior Notes due 2033 (the “2033 Notes”). Kodak currently expects that it will commence the tender offer prior to the closing of the separately announced private placement of convertible senior notes announced today, at which time it will announce the price at which it will offer to purchase the 2033 Notes. Completion of the tender offer will be subject to, among other things, the successful completion of its sale of senior secured notes to an entity formed by one or more investment funds, vehicles or accounts managed or advised by Kohlberg Kravis Roberts & Co. L.P. or one of its subsidiaries (also announced today) and the private placement of its convertible notes.
