IBM Extends U.S. Tender Offer for ILOG
Wednesday 19. November 2008 - IBM (NYSE: IBM) today announced it has extended its tender offer in the United States for all outstanding ordinary shares (including shares represented by American Depositary Shares (ADSs) held by any holder, wherever located) and warrants of ILOG (NASDAQ: ILOG) (PARIS: ILO) until 12:00 noon, EST, on November 24, 2008. The tender offer in the United States was originally scheduled to expire at 12:00 noon, EST, on November 17, 2008.
As of 5:00 p.m., EST, on November 14, 2008, the aggregate number of ADSs (representing an equal number of ILOG ordinary shares) that have been tendered into, and not withdrawn from, the tender offer in the United States, was 1,563,584 or approximately 69.8% of all outstanding ADSs.
The extension of the tender offer in the United States follows the European Commission’s decision of November 10, 2008, to approve the proposed acquisition of ILOG by IBM and the subsequent publication by the French Autorité des marchés financiers (AMF) of the timetable for IBM’s concurrent tender offer in France.
