La Seda de Barcelona: RELEVANT FACT
Monday 07. February 2011 - Pursuant to what has been set forth in article 82 of Law 24/1988, from 18. July, it is reported that La Seda de Barcelona, S.A. has transferred its entire share in the company Evertis, SGPS, S.A. (formerly called Begreen, SGPS, S.A.), making up 20% of the share capital. This transfer has been made in favour of Moura Consulting, S.L., owner of the remaining 80%.
Following this transfer, La Seda de Barcelona, S.A. has ceased to have any share in Evertis SGPS, S.A.
The sales price, which is proportional to the shares held in Evertis by La Seda de Barcelona, S.A., totals 5 times EBITDA for financial year 2013, after having deducted the net debt amount. In any case, a minimum price of 3 million euros has been agreed for the 20% of shares sold.
As previously reported, this transaction is part of the Company’s divestment process of non-strategic assets, according to the Restructuring Plan approved by the General Shareholders’ Assembly held on 17. December 2009.
