Myllykoski owners signed agreement to sell Myllykoski and Rhein Papier to UPM

The owners of Myllykoski Group and Rhein Papier GmbH have reached an agreement to sell the companies to UPM. The transaction includes all Myllykoski and Rhein Papier entities and their operations in Finland, Germany and the United States as well as the sales network. The agreement does not impact the position of the Myllykoski and Rhein Papier personnel.

UPM BOARD OF DIRECTORS DECIDES ON DIRECTED SHARE ISSUE AS PART OF THE CONSIDERATION FOR MYLLYKOSKI

On the basis of the authorisation granted by the Annual General Meeting of shareholders of UPM on 22 March 2010, UPM’s Board of Directors has today decided on the issuance of 5 million new UPM shares as a part of the consideration for the acquisition of Myllykoski Corporation and Rhein Papier GmbH (“Myllykoski”).

UPM-Kymmene Corporation has entered into an agreement to acquire Myllykoski Corporation and Rhein Papier GmbH (“Myllykoski”). The approximate enterprise value of the businesses acquired is EUR 900 million.
